Representative Experience
 
Buying and selling goods. For years, Mr. Burgess has represented the supply chain organization for a Fortune 500 technology company, negotiating and drafting numerous long-term supply agreements, valued at hundreds of millions of dollars, and serving as the chief legal architect of paradigm-shifting supply chain programs.
Buying and selling services. Mr. Burgess often helps small businesses negotiate and document long-term service contracts with their vendors and customers.
Buying and selling software, other IP licenses, and associated services. Mr. Burgess has assisted several venture-backed software companies to prepare standard software license agreements, and accompanying professional service contracts.
Real estate. Mr. Burgess has represented commercial landlords, real estate developers, and others in commercial and multi-family real property matters.
Forming business entities. Mr. Burgess often represents the founders of corporations, limited liability companies, partnerships, and joint ventures.
Financing businesses. Mr. Burgess has served as in-house counsel in preferred equity financing, and has assisted clients with bank and non-bank debt financing.
Hiring executives. Mr. Burgess has represented both companies and executives on the front end, dealing with bonus plans, stock and stock option arrangements, and other details, as well as separations at the end of an executive relationship.
Supporting business activities. Mr. Burgess supports business operations for several clients in a role much like an in-house lawyer.
Buying and selling private companies. Mr. Burgess has represented companies and investors in sales of majority control and in sales of substantially all of the assets of companies or divisions of companies.
Leasing commercial property. Mr. Burgess has represented both landlords and tenants in commercial leases, and property management companies with respect to commercial and multi-family properties.
Litigation management. Leveraging six years as a commercial litigator, Mr. Burgess has helped clients manage litigation in an outsourced corporate counsel capacity.
